NEWPHONIA PRO SUBSCRIPTIONS

These General Terms of Sale (hereinafter the "GTS") govern the sale of NewPhoniaPro subscriptions by RAGENCIA SAS ("Ragencia") to clients ("Client") via the Newphonia website and/or Application.

By subscribing to a NewPhoniaPro plan, the Client unreservedly accepts these GTS as well as the Terms of Use of the Service.


1. Purpose

The GTS define the conditions of subscription, payment, renewal, cancellation, and access to NewPhoniaPro subscriptions, including the contractual authorization to broadcast Content via the Application in public places or venues open to the public, within the limits set out in the Terms of Use.


2. Plans, Features, and Scope

The characteristics of NewPhoniaPro (price, duration, options, features, scope of use, limitations) are described at the time of ordering on the website www.newphonia-streaming.com. Ragencia may update the plans. Updates apply to new subscriptions and, where applicable, to renewals, after informing the Client when required by law.


3. Order -- Subscription

Subscription is completed online.

The Client:

  • selects a NewPhoniaPro plan,
  • provides the required information,
  • validates the order,
  • proceeds with payment.

The order is binding upon payment confirmation. Ragencia reserves the right to refuse an order in case of fraud, payment incident, or non-compliance with the TOU/GTS.


4. Price -- VAT -- Billing

Prices are indicated in euros (EUR) and specify VAT where applicable. An invoice or receipt is made available in the Client's account area. The Client undertakes to provide accurate billing information (in particular, company name and intra-community VAT number where applicable).


5. Payment

Payment is due immediately upon subscription, then at each renewal date according to the chosen billing period. In case of a payment incident or default, Ragencia may suspend access to NewPhoniaPro until regularization and/or cancel the subscription.


6. Activation -- Access to the Service

After payment, the Client accesses NewPhoniaPro features via their Account. The Client is responsible for configuring their equipment and Internet connection.


7. Duration -- Renewal

Unless otherwise stated, the subscription is entered into for a fixed period (monthly/annual) and may be automatically renewed. The Client may disable renewal or cancel according to the procedures indicated in their Account area.


8. Cancellation

8.1 Cancellation at the Client's Initiative

Cancellation takes effect at the end of the already-paid period, unless mandatory legal provisions dictate otherwise.

8.2 Cancellation / Suspension at Ragencia's Initiative

Ragencia may suspend or cancel the subscription in case of breach (prohibited use, fraud, non-payment, use outside the scope of the TOU).


9. Right of Withdrawal (Consumer Clients)

If the Client is a consumer within the meaning of the Code de la consommation (French Consumer Code) and subscribes remotely, they are in principle entitled to a legal withdrawal period of 14 days. However, for digital services, the right of withdrawal may not apply if performance has begun with the Client's prior express consent and acknowledgment of the loss of the right of withdrawal, under the conditions provided by law.

Ragencia makes available (or may provide upon request) a standard withdrawal form when required.


10. Refunds

Unless required by law, periods already started are not refunded. In case of a valid withdrawal or legal obligation to refund, Ragencia processes the refund in accordance with applicable legal requirements.


11. Client Obligations (Pro Use)

The Client undertakes to:

  • use NewPhoniaPro only via the Application or the website;
  • comply with the authorized broadcasting scope as defined in the TOU;
  • not extract, copy, record, or redistribute the Content;
  • ensure the security of their login credentials;
  • ensure compliance with the TOU by their employees/collaborators;
  • maintain one account per store.

12. Intellectual Property -- Prohibition of Exploitation Outside the Application

The Content and the Service are the exclusive property of Ragencia. Any exploitation outside the Application is prohibited without prior written consent.


13. Guarantee Regarding Content (No Additional Rights Fees for Authorized Use)

For Content made available on Newphonia and used in accordance with the TOU/GTS, Ragencia declares that listening to/broadcasting via the Application does not require payment of additional copyright or neighboring rights royalties by the Client, beyond the NewPhoniaPro subscription price.


14. Support -- Complaints

Support: contact@ragencia.com. The Client must provide relevant information (Account, plan, date, description of the issue).


15. Liability

To the extent permitted by law, Ragencia's liability is limited to the amount paid by the Client during the 12 months preceding the event giving rise to the claim. Ragencia is not liable for indirect damages.


16. Force Majeure

Neither party is liable in cases of force majeure as defined by French law/case law.


17. Consumer Mediation (If Applicable)

If the Client is a consumer, they may use a consumer mediator free of charge, in accordance with applicable rules.


18. Applicable Law -- Disputes

French law. Prior amicable resolution attempt. Competent courts as determined by general law and, where applicable, mandatory consumer protection rules.
